Role Purpose

  • Ensure the effective management, delivery, and smooth running of all Board matters including Board meetings (main full board, board sub-committees, and working groups).
  • This is a strategic and operational role where you will also have full responsibility for providing professional, procedural, and on occasion, legal advice to the Board. The role will also have responsibility for planning, organizing, and delivering on the full governance cycle and leading and advising on government frameworks and terms of reference. Advising the Board on all related regulatory and legislative matters will be key as will advising on matters relating to the Companies Act.

Responsibilities

  • Coordinate with all related departments to prepare items, presentations, reports being submitted to the board subcommittees before the meeting.
  • Follow-up on all action items with concerned departments.
  • Develop and maintain materials and meeting checklists.
  • Oversee all administrative activities related to board sub-committees operations.
  • Draft meeting minutes.
  • Advice on board committee governance and compliance issues.
  • Handle all calendar activities for the board sub-committees.
  • Prepare periodic board sub-committees activities report.
  • Advise on the corporate governance manual.
  • Participate in developing the board annual report.
  • Participate in the general assembly preparation.

Background, Skills

  • Excellent organizational and communication skills with the ability to negotiate and influence, while exercising sensitivity to the audience.
  • Ability to anticipate internal or external business challenges/regulatory issues and make recommendations.
  • Capable of directing the resolution of highly complex or unusual business problems, while applying advanced analytical thought and judgment.
  • 2-5 years of experience in preferably inboard affairs or governance or compliance.

Qualifications

  • Bachelor’s Degree (BA, Legal, or any related majors).
  • Certification in governance or compliance is a plus.
